2N5 Global Enabler Terms & Conditions

Welcome to 2N5! These Terms and Conditions ("Terms") govern your use of 2N5’s Global Enabler services. By accessing or using our services, you agree to be bound by these Terms. Please read them carefully before proceeding.

1. Definitions

  • "2N5" refers to 2N5 Inc., its affiliates, and subsidiaries providing the services outlined here.

  • "Services" refers to the suite of communication tools and technologies offered by 2N5, including but not limited to Cloud PBX, IVR, SIP Trunks, AI integrations, Omnichannel solutions, and related services.

  • "User" refers to individuals or entities using or accessing the 2N5 services.

  • "Agreement" refers to these Terms and Conditions, including any applicable policies, schedules, and amendments.

2. Acceptance of Terms

By using the 2N5 Global Enabler services, you agree to these Terms, our Privacy Policy, and any additional terms related to specific services. If you do not agree to these Terms, you should discontinue using the Services immediately.

3. Eligibility

You must be at least 18 years of age and authorized to enter into binding contracts on behalf of your organization to use 2N5's services. By using the Services, you confirm that you meet these requirements.

4. Use of Services

You agree to use the Services in compliance with all applicable laws, regulations, and industry standards. Any unauthorized use of the Services is prohibited, including:

  • Misuse of Services: Engaging in any activity that could harm, disable, or impair the Services.

  • Unauthorized Access: Attempting to gain unauthorized access to 2N5’s systems, servers, or user accounts.

  • Fraudulent Activities: Using the Services for any unlawful or deceptive purposes.

2N5 reserves the right to terminate your access to the Services if we detect unauthorized or inappropriate use.

5. Service Availability

While 2N5 strives to provide uninterrupted and secure service, we do not guarantee that the Services will be available at all times. Temporary service disruptions may occur due to scheduled maintenance, updates, or unforeseen technical issues. 2N5 is not liable for any disruptions, delays, or service failures outside of our reasonable control.

6. Fees and Payment Terms

  • Billing: Fees for using the 2N5 Global Enabler services will be invoiced in accordance with your subscription plan or service agreement. Fees are due on the terms specified in your agreement with 2N5.

  • Late Payment: Late payments may result in service suspension or termination. Late fees or interest may be applied as per applicable laws and service agreements.

  • Taxes: All fees are exclusive of applicable taxes, and you are responsible for paying any such taxes, duties, or levies associated with your use of the Services.

7. Intellectual Property

  • Ownership: 2N5 retains all rights, title, and interest in the intellectual property related to the Services, including but not limited to software, algorithms, trademarks, and content.

  • Limited License: 2N5 grants you a non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes, subject to these Terms.

8. Data Privacy and Security

Your use of the Services is subject to 2N5’s Privacy Policy, which outlines how we collect, use, and protect your personal data. We take reasonable measures to safeguard your data, but you acknowledge that no system is completely secure. 2N5 is not liable for unauthorized access to your data due to circumstances beyond our control.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared in connection with the Services. Confidential information should not be disclosed to third parties without prior written consent, except as required by law.

10. Limitation of Liability

To the fullest extent permitted by law, 2N5 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, or data loss, arising out of your use of or inability to use the Services, even if 2N5 has been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless 2N5, its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

  • By You: You may terminate your use of the Services at any time by providing written notice to 2N5. Any fees due prior to termination remain payable.

  • By 2N5: 2N5 reserves the right to suspend or terminate your access to the Services for any violation of these Terms or any applicable legal or regulatory requirements. We may also terminate the Services if necessary for legal or operational reasons.
